This Advertising Agreement ("Agreement") is entered into as of the date of signing by and between Engaged Wilmington ("Publisher") and the advertiser listed below ("Advertiser"). By signing this Agreement, the Advertiser agrees to the following terms and conditions:

1. ADVERTISING SPACE & PLACEMENT

1.1. Advertiser agrees to purchase an advertising space in the Engaged Wilmington Printed Directory ("Directory"). 1.2. The placement of advertisements is at the sole discretion of the Publisher, unless a premium placement has been purchased.

2. AD CONTENT & DESIGN

2.1. Advertiser must submit all ad materials, including images and text, in the required format by the submission deadline. 2.2. All advertisements are subject to Publisher’s approval. Publisher reserves the right to reject or request modifications to any ad deemed inappropriate or non-compliant with publication standards. 2.3. If Advertiser fails to submit an ad by the deadline, Publisher may use a previous ad (if applicable) or a placeholder with Advertiser’s business name and contact information.

3. PAYMENT TERMS

3.1. Advertiser agrees to pay the full amount due based on the selected ad size and placement. 3.2. Payment must be made in full at the time of signing this Agreement or by the due date specified in the invoice. 3.3. Late payments may result in the removal of the advertisement from the Directory without refund.

4. CANCELLATION POLICY

4.1. All payments are nonrefundable. Once payment is processed, the advertisement is submitted for publishing and cannot be canceled or altered.

5. LIABILITY & INDEMNIFICATION

5.1. Publisher is not responsible for errors in Advertiser-supplied content, including but not limited to typos, incorrect contact details, or low-quality images. 5.2. Advertiser represents and warrants that they have the legal right to use all content submitted and that the ad does not infringe on any third-party rights. 5.3. Advertiser agrees to indemnify and hold harmless Publisher from any claims, damages, or legal expenses arising from their advertisement.

6. PRINTING & DISTRIBUTION DISCLAIMER

6.1. Publisher reserves the right to adjust print quantities and distribution locations based on demand and availability. 6.2. While Publisher strives for high-quality printing, minor variations in color and resolution may occur and are not grounds for refunds or reprints. 6.3. Publisher is not liable for delays in publication due to unforeseen circumstances, including but not limited to supply chain issues, printing errors, or force majeure events.

7. TERM & AGREEMENT ACCEPTANCE

7.1. This Agreement is valid upon signing and remains in effect until the printed Directory is distributed. 7.2. No modifications to this Agreement will be valid unless made in writing and signed by both parties.
